1. Roles

“We” are metaisle Inc., the provider of Lex. “You” are the firm or organization that has an agreement with us for Lex. “Firm content” means what your people put into Lex or that Lex produces or collects for you, including personal information in it.

For firm content, you decide what is processed and why, and we process it on your behalf: we are your service provider under the California Consumer Privacy Act, and your processor under laws that use that term. For account and billing information about your people, our Privacy Policy applies.

2. Privilege

We provide Lex as the firm’s agent, under the direction of its lawyers, to assist them in providing legal services. Nothing in our handling of firm content is intended to waive the attorney-client privilege, work-product protection or any other protection that applies to it.

3. How we use firm content

We use firm content only to provide Lex to you, as the agreement and your use of Lex direct. We do not sell or share it, use it for advertising, use it to train AI models, or use it for any other customer or purpose.

4. Confidentiality and security

Only our personnel who need access to firm content to provide or support Lex can reach it, and they are bound to keep it confidential. We maintain reasonable administrative, technical and physical safeguards to protect it.

5. Subprocessors

You authorize us to use the companies listed in the Privacy Policy to provide Lex. Each is bound to protect firm content, and we remain responsible for their work. We update that list when it changes.

6. Incidents and legal demands

If we learn that firm content was accessed or disclosed without authorization, we will tell you without undue delay and give you the information you reasonably need to respond. If anyone else demands firm content from us, we will tell you before disclosing it where the law allows, so that you can object.

7. Helping you meet your obligations

If a person asks us about information of theirs in firm content, we will pass the request to you. We will give you reasonable help in responding to such requests and in meeting your own data protection obligations.

8. Deletion

When the agreement ends, we will delete firm content from our live systems on your written request, after giving you a reasonable chance to take a copy. Copies in backups are deleted as the backups age out.

9. General

Where this addendum and the Terms of Service differ about firm content, this addendum governs. The limits of liability in the Terms of Service apply to it.
